TITLE II<\/strong><\/span>
\nCRYPTO-ASSETS OTHER THAN ASSET-REFERENCED TOKENS OR E-MONEY TOKENS<\/span>
\nArticle 4<\/span>
\nOffers to the public of crypto-assets other than asset-referenced tokens or e-money tokens<\/span>
\n1. A person shall not make an offer to the public of a crypto-asset other than an asset-referenced token or e-money<\/span>
\ntoken in the Union unless that person:<\/span>
\n(a) is a legal person;<\/span>
\n(b) has drawn up a crypto-asset white paper in respect of that crypto-asset in accordance with Article 6;<\/span>
\n(c) has notified the crypto-asset white paper in accordance with Article 8;<\/span>
\n(d) has published the crypto-asset white paper in accordance with Article 9;<\/span>
\n(e) has drafted the marketing communications, if any, in respect of that crypto-asset in accordance with Article 7;<\/span>
\n(f) has published the marketing communications, if any, in respect of that crypto-asset in accordance with Article 9;<\/span>
\n(g) complies with the requirements for offerors laid down in Article 14.<\/span>
\n2. Paragraph 1, points (b), (c), (d) and (f), shall not apply to any of the following offers to the public of crypto-assets<\/span>
\nother than asset-referenced tokens or e-money tokens:<\/span>
\n(a) an offer to fewer than 150 natural or legal persons per Member State where such persons are acting on their own<\/span>
\naccount;<\/span>
\n(b) over a period of 12 months, starting with the beginning of the offer, the total consideration of an offer to the public<\/span>
\nof a crypto-asset in the Union does not exceed EUR 1 000 000, or the equivalent amount in another official<\/span>
\ncurrency or in crypto-assets;<\/span>
\n(c) an offer of a crypto-asset addressed solely to qualified investors where the crypto-asset can only be held by such<\/span>
\nqualified investors.<\/span>
\n3. This Title shall not apply to offers to the public of crypto-assets other than asset-referenced tokens or e-money<\/span>
\ntokens where any of the following apply:<\/span>
\n(a) the crypto-asset is offered for free;<\/span>
\n(b) the crypto-asset is automatically created as a reward for the maintenance of the distributed ledger or the validation<\/span>
\nof transactions;<\/span>
\n(c) the offer concerns a utility token providing access to a good or service that exists or is in operation;<\/span>
\n(d) the holder of the crypto-asset has the right to use it only in exchange for goods and services in a limited network of<\/span>
\nmerchants with contractual arrangements with the offeror.<\/span>
\nFor the purposes of point (a) of the first subparagraph, a crypto-asset shall not be considered to be offered for free<\/span>
\nwhere purchasers are required to provide, or to undertake to provide, personal data to the offeror in exchange for that<\/span>
\ncrypto-asset, or where the offeror of a crypto-asset receives from prospective holders of that crypto-asset any fees,<\/span>
\ncommissions, or monetary or non-monetary benefits in exchange for that crypto-asset.<\/span>
\nWhere, for each 12-month period starting from the beginning of the initial offer to the public, the total consideration of<\/span>
\nan offer to the public of a crypto-asset in the circumstances referred to in the first subparagraph, point (d), in the Union<\/span>
\nexceeds EUR 1 000 000, the offeror shall send a notification to the competent authority containing a description of the<\/span>
\noffer and explaining why the offer is exempt from this Title pursuant to the first subparagraph, point (d).<\/span>
\nBased on the notification referred to in the third subparagraph, the competent authority shall take a duly justified<\/span>
\ndecision where it considers that the activity does not qualify for an exemption as a limited network under the first<\/span>
\nsubparagraph, point (d), and shall inform the offeror accordingly.<\/span>

\n4. The exemptions listed in paragraphs 2 and 3 shall not apply where the offeror, or another person acting on the<\/span>
\nofferor\u2019s behalf, makes known in any communication its intention to seek admission to trading of a crypto-asset other<\/span>
\nthan an asset-referenced token or e-money token.<\/span>
\n5. Authorisation as a crypto-asset service provider pursuant to Article 59 is not required for providing custody and<\/span>
\nadministration of crypto-assets on behalf of clients or for providing transfer services for crypto-assets in relation to<\/span>
\ncrypto-assets whose offers to the public are exempt pursuant to paragraph 3 of this Article, unless:<\/span>
\n(a) there exists another offer to the public of the same crypto-asset and that offer does not benefit from the exemption;<\/span>
\nor<\/span>
\n(b) the crypto-asset offered is admitted to a trading platform.<\/span>
\n6. Where the offer to the public of the crypto-asset other than an asset-referenced token or e-money token concerns<\/span>
\na utility token providing access to goods and services that do not yet exist or are not yet in operation, the duration of<\/span>
\nthe offer to the public as described in the crypto-asset white paper shall not exceed 12 months from the date of<\/span>
\npublication of the crypto-asset white paper.<\/span>
\n7. Any subsequent offer to the public of the crypto-asset other than an asset-referenced token or e-money token shall<\/span>
\nbe deemed a separate offer to the public to which the requirements of paragraph 1 apply, without prejudice to the<\/span>
\npossible application of paragraph 2 or 3 to the subsequent offer to the public.<\/span>
\nNo additional crypto-asset white paper shall be required for any subsequent offer to the public of the crypto-asset other<\/span>
\nthan an asset-referenced token or e-money token so long as a crypto-asset white paper has been published in<\/span>
\naccordance with Articles 9 and 12, and the person responsible for drawing up such white paper consents to its use<\/span>
\nin writing.<\/span>
\n8. Where an offer to the public of a crypto-asset other than an asset-referenced token or e-money token is exempt<\/span>
\nfrom the obligation to publish a crypto-asset white paper under paragraph 2 or 3, but a white paper is nevertheless<\/span>
\ndrawn up voluntarily, this Title shall apply<\/span><\/p>\n

\n

TITLE II<\/strong><\/span><\/h1>\n

  1. \n

    A person shall not make an offer to the public of a crypto-asset other than an asset-referenced token or e-money token in the Union unless that person:<\/span>

      Kho\u1ea3n 2<\/strong><\/span><\/h2>\n

        Paragraph 1, points (b), (c), (d) and (f), shall not apply to any of the following offers to the public of crypto-assets other than asset-referenced tokens or e-money tokens:<\/span>
        (a) an offer to fewer than 150 natural or legal persons per Member State where such persons are acting on their own account;<\/span>
        (b) over a period of 12 months, starting with the beginning of the offer, the total consideration of an offer to the public of a crypto-asset in the Union does not exceed EUR 1 000 000, or the equivalent amount in another official currency or in crypto-assets;<\/span>

          (c) ch\u00e0o b\u00e1n crypto-asset ch\u1ec9 d\u00e0nh ri\u00eang cho c\u00e1c nh\u00e0 \u0111\u1ea7u t\u01b0 chuy\u00ean nghi\u1ec7p, khi crypto-asset \u0111\u00f3 ch\u1ec9 c\u00f3 th\u1ec3 \u0111\u01b0\u1ee3c n\u1eafm gi\u1eef b\u1edfi c\u00e1c nh\u00e0 \u0111\u1ea7u t\u01b0 chuy\u00ean nghi\u1ec7p \u0111\u00f3.<\/span><\/p>\n<\/li>\n<\/ol>\n

              (b) crypto-asset \u0111\u01b0\u1ee3c t\u1ef1 \u0111\u1ed9ng t\u1ea1o ra nh\u01b0 m\u1ed9t ph\u1ea7n th\u01b0\u1edfng cho vi\u1ec7c duy tr\u00ec s\u1ed5 c\u00e1i ph\u00e2n t\u00e1n ho\u1eb7c x\u00e1c th\u1ef1c giao d\u1ecbch;<\/span>
              (c) ch\u00e0o b\u00e1n li\u00ean quan \u0111\u1ebfn utility token cung c\u1ea5p quy\u1ec1n truy c\u1eadp v\u00e0o m\u1ed9t h\u00e0ng h\u00f3a ho\u1eb7c d\u1ecbch v\u1ee5 \u0111\u00e3 t\u1ed3n t\u1ea1i ho\u1eb7c \u0111ang ho\u1ea1t \u0111\u1ed9ng;<\/span>
              (d) ng\u01b0\u1eddi n\u1eafm gi\u1eef crypto-asset ch\u1ec9 c\u00f3 quy\u1ec1n s\u1eed d\u1ee5ng n\u00f3 \u0111\u1ec3 \u0111\u1ed5i l\u1ea5y h\u00e0ng h\u00f3a v\u00e0 d\u1ecbch v\u1ee5 trong m\u1ed9t m\u1ea1ng l\u01b0\u1edbi h\u1ea1n ch\u1ebf c\u00e1c th\u01b0\u01a1ng nh\u00e2n c\u00f3 th\u1ecfa thu\u1eadn h\u1ee3p \u0111\u1ed3ng v\u1edbi b\u00ean ch\u00e0o b\u00e1n.<\/span><\/p>\n<\/li>\n<\/ol>\n

              V\u00ec m\u1ee5c \u0111\u00edch c\u1ee7a \u0111i\u1ec3m (a) \u0111o\u1ea1n th\u1ee9 nh\u1ea5t, m\u1ed9t crypto-asset kh\u00f4ng \u0111\u01b0\u1ee3c coi l\u00e0 \u0111\u01b0\u1ee3c ch\u00e0o b\u00e1n mi\u1ec5n ph\u00ed khi ng\u01b0\u1eddi mua b\u1ecb y\u00eau c\u1ea7u cung c\u1ea5p ho\u1eb7c cam k\u1ebft cung c\u1ea5p d\u1eef li\u1ec7u c\u00e1 nh\u00e2n cho b\u00ean ch\u00e0o b\u00e1n \u0111\u1ec3 \u0111\u1ed5i l\u1ea5y crypto-asset \u0111\u00f3, ho\u1eb7c khi b\u00ean ch\u00e0o b\u00e1n nh\u1eadn t\u1eeb ng\u01b0\u1eddi n\u1eafm gi\u1eef ti\u1ec1m n\u0103ng b\u1ea5t k\u1ef3 kho\u1ea3n ph\u00ed, hoa h\u1ed3ng ho\u1eb7c l\u1ee3i \u00edch ti\u1ec1n t\u1ec7 ho\u1eb7c phi ti\u1ec1n t\u1ec7 n\u00e0o \u0111\u1ec3 \u0111\u1ed5i l\u1ea5y crypto-asset \u0111\u00f3.<\/span><\/p>\n

              Khi, trong m\u1ed7i giai \u0111o\u1ea1n 12 th\u00e1ng k\u1ec3 t\u1eeb khi b\u1eaft \u0111\u1ea7u ch\u00e0o b\u00e1n l\u1ea7n \u0111\u1ea7u ra c\u00f4ng ch\u00fang, t\u1ed5ng gi\u00e1 tr\u1ecb \u0111\u1ed1i \u1ee9ng c\u1ee7a \u0111\u1ee3t ch\u00e0o b\u00e1n crypto-asset trong c\u00e1c ho\u00e0n c\u1ea3nh n\u00eau t\u1ea1i \u0111i\u1ec3m (d) \u0111o\u1ea1n th\u1ee9 nh\u1ea5t trong Li\u00ean minh v\u01b0\u1ee3t qu\u00e1 1 000 000 EUR, b\u00ean ch\u00e0o b\u00e1n ph\u1ea3i g\u1eedi th\u00f4ng b\u00e1o cho c\u01a1 quan c\u00f3 th\u1ea9m quy\u1ec1n, bao g\u1ed3m m\u00f4 t\u1ea3 v\u1ec1 \u0111\u1ee3t ch\u00e0o b\u00e1n v\u00e0 gi\u1ea3i th\u00edch l\u00fd do t\u1ea1i sao \u0111\u1ee3t ch\u00e0o b\u00e1n \u0111\u01b0\u1ee3c mi\u1ec5n \u00e1p d\u1ee5ng theo \u0111i\u1ec3m (d) \u0111o\u1ea1n th\u1ee9 nh\u1ea5t.<\/span><\/p>\n

                            Any subsequent offer to the public of the crypto-asset other than an asset-referenced token or e-money token shall be deemed a separate offer to the public to which the requirements of paragraph 1 apply, without prejudice to the possible application of paragraph 2 or 3 to the subsequent offer to the public.
                            No additional crypto-asset white paper shall be required for any subsequent offer to the public of the crypto-asset other than an asset-referenced token or e-money token so long as a crypto-asset white paper has been published in accordance with Articles 9 and 12, and the person responsible for drawing up such white paper consents to its use in writing.<\/p>\n<\/li>\n<\/ol>\n
