1. V\u00ec m\u1ee5c \u0111\u00edch c\u1ee7a Quy \u0111\u1ecbnh n\u00e0y, c\u00e1c \u0111\u1ecbnh ngh\u0129a sau \u0111\u00e2y \u0111\u01b0\u1ee3c \u00e1p d\u1ee5ng:<\/strong><\/h2>\n

(1)<\/strong> \u201cc\u00f4ng ngh\u1ec7 s\u1ed5 c\u00e1i ph\u00e2n t\u00e1n\u201d ho\u1eb7c \u201cDLT\u201d l\u00e0 c\u00f4ng ngh\u1ec7 cho ph\u00e9p v\u1eadn h\u00e0nh v\u00e0 s\u1eed d\u1ee5ng c\u00e1c s\u1ed5 c\u00e1i ph\u00e2n t\u00e1n;<\/p>\n

Article 3<\/span><\/strong>
\nDefinitions<\/span>
\n1. For the purposes of this Regulation, the following definitions apply:<\/span>
\n(1) \u2018distributed ledger technology\u2019 or \u2018DLT\u2019 means a technology that enables the operation and use of distributed<\/span>
\nledgers;<\/span>
\n(2) \u2018distributed ledger\u2019 means an information repository that keeps records of transactions and that is shared across,<\/span>
\nand synchronised between, a set of DLT network nodes using a consensus mechanism;<\/span>
\n(3) \u2018consensus mechanism\u2019 means the rules and procedures by which an agreement is reached, among DLT network<\/span>
\nnodes, that a transaction is validated;<\/span>
\n(4) \u2018DLT network node\u2019 means a device or process that is part of a network and that holds a complete or partial<\/span>
\nreplica of records of all transactions on a distributed ledger;<\/span>
\n(5) \u2018crypto-asset\u2019 means a digital representation of a value or of a right that is able to be transferred and stored<\/span>
\nelectronically using distributed ledger technology or similar technology;<\/span>
\n(6) \u2018asset-referenced token\u2019 means a type of crypto-asset that is not an electronic money token and that purports to<\/span>
\nmaintain a stable value by referencing another value or right or a combination thereof, including one or more<\/span>
\nofficial currencies;<\/span>
\n(7) \u2018electronic money token\u2019 or \u2018e-money token\u2019 means a type of crypto-asset that purports to maintain a stable value<\/span>
\nby referencing the value of one official currency;<\/span>
\n(8) \u2018official currency\u2019 means an official currency of a country that is issued by a central bank or other monetary<\/span>
\nauthority;<\/span>
\n(9) \u2018utility token\u2019 means a type of crypto-asset that is only intended to provide access to a good or a service supplied<\/span>
\nby its issuer;<\/span>
\n(10) \u2018issuer\u2019 means a natural or legal person, or other undertaking, who issues crypto-assets;<\/span>
\n(11) \u2018applicant issuer\u2019 means an issuer of asset-referenced tokens or e-money tokens who applies for authorisation to<\/span>
\noffer to the public or seeks the admission to trading of those crypto-assets;<\/span>
\n(12) \u2018offer to the public\u2019 means a communication to persons in any form, and by any means, presenting sufficient<\/span>
\ninformation on the terms of the offer and the crypto-assets to be offered so as to enable prospective holders to<\/span>
\ndecide whether to purchase those crypto-assets;<\/span>
\n(13) \u2018offeror\u2019 means a natural or legal person, or other undertaking, or the issuer, who offers crypto-assets to the public;<\/span>
\n(14) \u2018funds\u2019 means funds as defined in Article 4, point (25), of Directive (EU) 2015\/2366;<\/span>

\n(c) exchange of crypto-assets for funds;<\/span>
\n(d) exchange of crypto-assets for other crypto-assets;<\/span>
\n(e) execution of orders for crypto-assets on behalf of clients;<\/span>
\n(f) placing of crypto-assets;<\/span>
\n(g) reception and transmission of orders for crypto-assets on behalf of clients;<\/span>
\n(h) providing advice on crypto-assets;<\/span>
\n(i) providing portfolio management on crypto-assets;<\/span>
\n(j) providing transfer services for crypto-assets on behalf of clients;<\/span>
\n(17) \u2018providing custody and administration of crypto-assets on behalf of clients\u2019 means the safekeeping or controlling,<\/span>
\non behalf of clients, of crypto-assets or of the means of access to such crypto-assets, where applicable in the form<\/span>
\nof private cryptographic keys;<\/span>
\n(18) \u2018operation of a trading platform for crypto-assets\u2019 means the management of one or more multilateral systems,<\/span>
\nwhich bring together or facilitate the bringing together of multiple third-party purchasing and selling interests in<\/span>
\ncrypto-assets, in the system and in accordance with its rules, in a way that results in a contract, either by<\/span>
\nexchanging crypto-assets for funds or by the exchange of crypto-assets for other crypto-assets;<\/span>
\n(19) \u2018exchange of crypto-assets for funds\u2019 means the conclusion of purchase or sale contracts concerning crypto-assets<\/span>
\nwith clients for funds by using proprietary capital;<\/span>
\n(20) \u2018exchange of crypto-assets for other crypto-assets\u2019 means the conclusion of purchase or sale contracts concerning<\/span>
\ncrypto-assets with clients for other crypto-assets by using proprietary capital;<\/span>
\n(21) \u2018execution of orders for crypto-assets on behalf of clients\u2019 means the conclusion of agreements, on behalf of clients,<\/span>
\nto purchase or sell one or more crypto-assets or the subscription on behalf of clients for one or more cryptoassets, and includes the conclusion of contracts to sell crypto-assets at the moment of their offer to the public or<\/span>
\nadmission to trading;<\/span>
\n(22) \u2018placing of crypto-assets\u2019 means the marketing, on behalf of or for the account of the offeror or a party related to<\/span>
\nthe offeror, of crypto-assets to purchasers;<\/span>
\n(23) \u2018reception and transmission of orders for crypto-assets on behalf of clients\u2019 means the reception from a person of<\/span>
\nan order to purchase or sell one or more crypto-assets or to subscribe for one or more crypto-assets and the<\/span>
\ntransmission of that order to a third party for execution;<\/span>
\n(24) \u2018providing advice on crypto-assets\u2019 means offering, giving or agreeing to give personalised recommendations to a<\/span>
\nclient, either at the client\u2019s request or on the initiative of the crypto-asset service provider providing the advice, in<\/span>
\nrespect of one or more transactions relating to crypto-assets, or the use of crypto-asset services;<\/span>
\n(25) \u2018providing portfolio management of crypto-assets\u2019 means managing portfolios in accordance with mandates given<\/span>
\nby clients on a discretionary client-by-client basis where such portfolios include one or more crypto-assets;<\/span>
\n(26) \u2018providing transfer services for crypto-assets on behalf of clients\u2019 means providing services of transfer, on behalf of<\/span>
\na natural or legal person, of crypto-assets from one distributed ledger address or account to another;<\/span>
\n(27) \u2018management body\u2019 means the body or bodies of an issuer, offeror or person seeking admission to trading, or of a<\/span>
\ncrypto-asset service provider, which are appointed in accordance with national law, which are empowered to set<\/span>
\nthe entity\u2019s strategy, objectives and overall direction, and which oversee and monitor management decision-making<\/span>
\nin the entity and include the persons who effectively direct the business of the entity;<\/span>
\n(28) \u2018credit institution\u2019 means a credit institution as defined in Article 4(1), point (1), of Regulation (EU) No 575\/2013<\/span>
\nand authorised under Directive 2013\/36\/EU;<\/span>
\n(29) \u2018investment firm\u2019 means an investment firm as defined in Article 4(1), point (2), of Regulation (EU) No 575\/2013<\/span>
\nand authorised under Directive 2014\/65\/EU;<\/span>
\n(30) \u2018qualified investors\u2019 means persons or entities that are listed in Section I, points (1) to (4), of Annex II to Directive<\/span>
\n2014\/65\/EU;<\/span>
\n(31) \u2018close links\u2019 means close links as defined in Article 4(1), point (35), of Directive 2014\/65\/EU;<\/span>
\n(32) \u2018reserve of assets\u2019 means the basket of reserve assets securing the claim against the issuer;<\/span>
\n(33) \u2018home Member State\u2019 means:<\/span>
\n(a) where the offeror or person seeking admission to trading of crypto-assets other than asset-referenced tokens or<\/span>
\ne-money tokens has its registered office in the Union, the Member State where that offeror or person has its<\/span>
\nregistered office;<\/span>
\n(b) where the offeror or person seeking admission to trading of crypto-assets other than asset-referenced tokens or<\/span>
\ne-money tokens has no registered office in the Union but does have one or more branches in the Union, the<\/span>
\nMember State chosen by that offeror or person from among the Member States where it has branches;<\/span>
\n(c) where the offeror or person seeking admission to trading of crypto-assets other than asset-referenced tokens or<\/span>
\ne-money tokens is established in a third country and has no branch in the Union, either the Member State<\/span>
\nwhere the crypto-assets are intended to be offered to the public for the first time or, at the choice of the offeror<\/span>
\nor person seeking admission to trading, the Member State where the first application for admission to trading<\/span>
\nof those crypto-assets is made;<\/span>
\n(d) in the case of an issuer of asset-referenced tokens, the Member State where the issuer of asset-referenced tokens<\/span>
\nhas its registered office;<\/span>
\n(e) in the case of an issuer of e-money tokens, the Member State where the issuer of e-money tokens is authorised<\/span>
\nas a credit institution under Directive 2013\/36\/EU or as an electronic money institution under Directive<\/span>
\n2009\/110\/EC;<\/span>
\n(f) in the case of crypto-asset service providers, the Member State where the crypto-asset service provider has its<\/span>
\nregistered office;<\/span>
\n(34) \u2018host Member State\u2019 means the Member State where an offeror or person seeking admission to trading has made an<\/span>
\noffer to the public of crypto-assets or is seeking admission to trading, or where a crypto-asset service provider<\/span>
\nprovides crypto-asset services, where different from the home Member State;<\/span>
\n(35) \u2018competent authority\u2019 means one or more authorities:<\/span>
\n(a) designated by each Member State in accordance with Article 93 concerning offerors, persons seeking admission<\/span>
\nto trading of crypto-assets other than asset-referenced tokens and e-money tokens, issuers of asset-referenced<\/span>
\ntokens, or crypto-asset service providers;<\/span>

\n(b) designated by each Member State for the application of Directive 2009\/110\/EC concerning issuers of e-money<\/span>
\ntokens;<\/span>
\n(36) \u2018qualifying holding\u2019 means any direct or indirect holding in an issuer of asset-referenced tokens or in a crypto-asset<\/span>
\nservice provider which represents at least 10 % of the capital or of the voting rights, as set out in Articles 9 and 10<\/span>
\nof Directive 2004\/109\/EC of the European Parliament and of the Council (32), respectively, taking into account the<\/span>
\nconditions for the aggregation thereof laid down in Article 12(4) and (5) of that Directive, or which makes it<\/span>
\npossible to exercise a significant influence over the management of the issuer of asset-referenced tokens or the<\/span>
\nmanagement of the crypto-asset service provider in which that holding subsists;<\/span>
\n(37) \u2018retail holder\u2019 means any natural person who is acting for purposes which are outside that person\u2019s trade, business,<\/span>
\ncraft or profession;<\/span>
\n(38) \u2018online interface\u2019 means any software, including a website, part of a website or an application, that is operated by<\/span>
\nor on behalf of an offeror or crypto-asset service provider, and which serves to give holders of crypto-assets access<\/span>
\nto their crypto-assets and to give clients access to crypto-asset services;<\/span>
\n(39) \u2018client\u2019 means any natural or legal person to whom a crypto-asset service provider provides crypto-asset services;<\/span>
\n(40) \u2018matched principal trading\u2019 means matched principal trading as defined in Article 4(1), point (38), of Directive<\/span>
\n2014\/65\/EU;<\/span>
\n(41) \u2018payment services\u2019 means payment services as defined in Article 4, point (3), of Directive (EU) 2015\/2366;<\/span>
\n(42) \u2018payment service provider\u2019 means a payment service provider as defined in Article 4, point (11), of Directive (EU)<\/span>
\n2015\/2366;<\/span>
\n(43) \u2018electronic money institution\u2019 means an electronic money institution as defined in Article 2, point (1), of Directive<\/span>
\n2009\/110\/EC;<\/span>
\n(44) \u2018electronic money\u2019 means electronic money as defined in Article 2, point (2), of Directive 2009\/110\/EC;<\/span>
\n(45) \u2018personal data\u2019 means personal data as defined in Article 4, point (1), of Regulation (EU) 2016\/679;<\/span>
