PH\u1ea0M VI \u00c1P D\u1ee4NG C\u1ee6A MiCA \u2013 C\u1ea4U TR\u00daC LO\u1ea0I TR\u1eea V\u00c0 NGUY\u00caN T\u1eaeC PH\u00c2N \u0110\u1ecaNH H\u1ec6 TH\u1ed0NG PH\u00c1P LU\u1eacT<\/h2>\n
\n

I. Tr\u00edch nguy\u00ean v\u0103n \u0110i\u1ec1u 2 (Scope)<\/h2>\n

\ud83d\udcdc Article 2 \u2013 Scope (Nguy\u00ean v\u0103n ti\u1ebfng Anh)<\/h3>\n

1.<\/strong> This Regulation applies to natural and legal persons and certain other undertakings that are engaged in the issuance, offer to the public and admission to trading of crypto-assets or that provide services related to crypto-assets in the Union.<\/p>\n

2.<\/strong> This Regulation does not apply to:
(a) persons who provide crypto-asset services exclusively for their parent companies, for their own subsidiaries or for other subsidiaries of their parent companies;
(b) a liquidator or an administrator acting in the course of an insolvency procedure, except for the purposes of Article 47;
(c) the ECB, central banks of the Member States when acting in their capacity as monetary authorities, or other public authorities of the Member States;
(d) the European Investment Bank and its subsidiaries;
(e) the European Financial Stability Facility and the European Stability Mechanism;
(f) public international organisations.<\/p>\n

3.<\/strong> This Regulation does not apply to crypto-assets that are unique and not fungible with other crypto-assets.<\/p>\n

4.<\/strong> This Regulation does not apply to crypto-assets that qualify as one or more of the following:
(a) financial instruments;
(b) deposits, including structured deposits;
(c) funds, except if they qualify as e-money tokens;
(d) securitisation positions in the context of a securitisation as defined in Article 2, point (1), of Regulation (EU) 2017\/2402;
(e) non-life or life insurance products falling within the classes of insurance listed in Annexes I and II to Directive 2009\/138\/EC or reinsurance and retrocession contracts referred to in that Directive;
(f) pension products that, under national law, are recognised as having the primary purpose of providing the investor with an income in retirement and that entitle the investor to certain benefits;
(g) officially recognised occupational pension schemes falling within the scope of Directive (EU) 2016\/2341 or Directive 2009\/138\/EC;
(h) individual pension products for which a financial contribution from the employer is required by national law and where the employer or the employee has no choice as to the pension product or provider;
(i) a pan-European Personal Pension Product as defined in Article 2, point (2), of Regulation (EU) 2019\/1238;
(j) social security schemes covered by Regulations (EC) No 883\/2004 and (EC) No 987\/2009.<\/p>\n

5.<\/strong> By 30 December 2024, ESMA shall, for the purposes of paragraph 4, point (a), of this Article issue guidelines in accordance with Article 16 of Regulation (EU) No 1095\/2010 on the conditions and criteria for the qualification of crypto-assets as financial instruments.<\/p>\n

6.<\/strong> This Regulation shall be without prejudice to Regulation (EU) No 1024\/2013.<\/p>\n

\n

II. B\u1ea3n d\u1ecbch nguy\u00ean v\u0103n ti\u1ebfng Vi\u1ec7t<\/h2>\n

\u0110i\u1ec1u 2 \u2013 Ph\u1ea1m vi \u00e1p d\u1ee5ng<\/h3>\n

1.<\/strong> Quy \u0111\u1ecbnh n\u00e0y \u00e1p d\u1ee5ng \u0111\u1ed1i v\u1edbi c\u00e1 nh\u00e2n, ph\u00e1p nh\u00e2n v\u00e0 m\u1ed9t s\u1ed1 ch\u1ee7 th\u1ec3 kh\u00e1c tham gia v\u00e0o vi\u1ec7c ph\u00e1t h\u00e0nh, ch\u00e0o b\u00e1n ra c\u00f4ng ch\u00fang, xin ni\u00eam y\u1ebft giao d\u1ecbch t\u00e0i s\u1ea3n m\u00e3 h\u00f3a ho\u1eb7c cung c\u1ea5p d\u1ecbch v\u1ee5 li\u00ean quan \u0111\u1ebfn t\u00e0i s\u1ea3n m\u00e3 h\u00f3a trong Li\u00ean minh.<\/p>\n

2.<\/strong> Quy \u0111\u1ecbnh n\u00e0y kh\u00f4ng \u00e1p d\u1ee5ng \u0111\u1ed1i v\u1edbi:
(a) c\u00e1c t\u1ed5 ch\u1ee9c ch\u1ec9 cung c\u1ea5p d\u1ecbch v\u1ee5 t\u00e0i s\u1ea3n m\u00e3 h\u00f3a cho c\u00f4ng ty m\u1eb9, c\u00f4ng ty con c\u1ee7a m\u00ecnh ho\u1eb7c c\u00e1c c\u00f4ng ty con kh\u00e1c c\u00f9ng c\u00f4ng ty m\u1eb9;
(b) qu\u1ea3n t\u00e0i vi\u00ean ho\u1eb7c ng\u01b0\u1eddi qu\u1ea3n l\u00fd trong qu\u00e1 tr\u00ecnh th\u1ee7 t\u1ee5c ph\u00e1 s\u1ea3n, tr\u1eeb m\u1ee5c \u0111\u00edch c\u1ee7a \u0110i\u1ec1u 47;
(c) Ng\u00e2n h\u00e0ng Trung \u01b0\u01a1ng ch\u00e2u \u00c2u, ng\u00e2n h\u00e0ng trung \u01b0\u01a1ng c\u00e1c qu\u1ed1c gia th\u00e0nh vi\u00ean khi th\u1ef1c hi\u1ec7n ch\u1ee9c n\u0103ng ti\u1ec1n t\u1ec7, ho\u1eb7c c\u00e1c c\u01a1 quan c\u00f4ng quy\u1ec1n kh\u00e1c c\u1ee7a qu\u1ed1c gia th\u00e0nh vi\u00ean;
(d) Ng\u00e2n h\u00e0ng \u0110\u1ea7u t\u01b0 ch\u00e2u \u00c2u v\u00e0 c\u00e1c c\u00f4ng ty con c\u1ee7a t\u1ed5 ch\u1ee9c n\u00e0y;
(e) Qu\u1ef9 B\u00ecnh \u1ed5n T\u00e0i ch\u00ednh ch\u00e2u \u00c2u v\u00e0 C\u01a1 ch\u1ebf B\u00ecnh \u1ed5n ch\u00e2u \u00c2u;
(f) c\u00e1c t\u1ed5 ch\u1ee9c c\u00f4ng qu\u1ed1c t\u1ebf.<\/p>\n

3.<\/strong> Quy \u0111\u1ecbnh n\u00e0y kh\u00f4ng \u00e1p d\u1ee5ng \u0111\u1ed1i v\u1edbi t\u00e0i s\u1ea3n m\u00e3 h\u00f3a mang t\u00ednh \u0111\u1ed9c nh\u1ea5t v\u00e0 kh\u00f4ng th\u1ec3 thay th\u1ebf v\u1edbi t\u00e0i s\u1ea3n m\u00e3 h\u00f3a kh\u00e1c.<\/p>\n

4.<\/strong> Quy \u0111\u1ecbnh n\u00e0y kh\u00f4ng \u00e1p d\u1ee5ng \u0111\u1ed1i v\u1edbi t\u00e0i s\u1ea3n m\u00e3 h\u00f3a \u0111\u01b0\u1ee3c ph\u00e2n lo\u1ea1i l\u00e0 m\u1ed9t ho\u1eb7c nhi\u1ec1u lo\u1ea1i sau:
(a) c\u00f4ng c\u1ee5 t\u00e0i ch\u00ednh;
(b) ti\u1ec1n g\u1eedi, bao g\u1ed3m ti\u1ec1n g\u1eedi c\u1ea5u tr\u00fac;
(c) qu\u1ef9, tr\u1eeb khi ch\u00fang \u0111\u1ee7 \u0111i\u1ec1u ki\u1ec7n l\u00e0 token ti\u1ec1n \u0111i\u1ec7n t\u1eed;
(d) v\u1ecb th\u1ebf ch\u1ee9ng kho\u00e1n h\u00f3a theo \u0111\u1ecbnh ngh\u0129a t\u1ea1i \u0110i\u1ec1u 2(1) c\u1ee7a Quy \u0111\u1ecbnh (EU) 2017\/2402;
(e) s\u1ea3n ph\u1ea9m b\u1ea3o hi\u1ec3m nh\u00e2n th\u1ecd v\u00e0 phi nh\u00e2n th\u1ecd theo Ch\u1ec9 th\u1ecb 2009\/138\/EC ho\u1eb7c h\u1ee3p \u0111\u1ed3ng t\u00e1i b\u1ea3o hi\u1ec3m;
(f) s\u1ea3n ph\u1ea9m h\u01b0u tr\u00ed \u0111\u01b0\u1ee3c ph\u00e1p lu\u1eadt qu\u1ed1c gia c\u00f4ng nh\u1eadn nh\u1eb1m m\u1ee5c \u0111\u00edch cung c\u1ea5p thu nh\u1eadp khi ngh\u1ec9 h\u01b0u;
(g) ch\u1ebf \u0111\u1ed9 h\u01b0u tr\u00ed ngh\u1ec1 nghi\u1ec7p ch\u00ednh th\u1ee9c;
(h) s\u1ea3n ph\u1ea9m h\u01b0u tr\u00ed c\u00e1 nh\u00e2n c\u00f3 \u0111\u00f3ng g\u00f3p b\u1eaft bu\u1ed9c t\u1eeb ng\u01b0\u1eddi s\u1eed d\u1ee5ng lao \u0111\u1ed9ng theo lu\u1eadt qu\u1ed1c gia;
(i) S\u1ea3n ph\u1ea9m h\u01b0u tr\u00ed c\u00e1 nh\u00e2n to\u00e0n ch\u00e2u \u00c2u theo Quy \u0111\u1ecbnh (EU) 2019\/1238;
(j) c\u00e1c ch\u1ebf \u0111\u1ed9 an sinh x\u00e3 h\u1ed9i theo Quy \u0111\u1ecbnh (EC) 883\/2004 v\u00e0 987\/2009.<\/p>\n

5.<\/strong> Tr\u01b0\u1edbc ng\u00e0y 30\/12\/2024, ESMA ph\u1ea3i ban h\u00e0nh h\u01b0\u1edbng d\u1eabn v\u1ec1 \u0111i\u1ec1u ki\u1ec7n v\u00e0 ti\u00eau ch\u00ed x\u00e1c \u0111\u1ecbnh t\u00e0i s\u1ea3n m\u00e3 h\u00f3a l\u00e0 c\u00f4ng c\u1ee5 t\u00e0i ch\u00ednh.<\/p>\n
